Terms of use
The agreement for using Composer Assistant: your license to the plugin, your plan, what you can do with your takes, and the rules we both follow.

In plain English
- Who we are. Composer Assistant is made and sold by Cinematic Composing LLC, a California company. "We" and "us" mean us.
- The plugin is licensed to you, personally. Install it on computers you own. Don't share your account or pass the plugin on.
- Generating needs our servers. The AI runs on our servers, so you need an internet connection, a signed-in account and an active plan.
- Your music stays yours. What you put in is yours, and what's new in each take is yours to use — commercially too, including music you release or sell. We charge no royalties and need no credit. Where a take uses our own material, like Independent MIDI built from our MIDI packs, you get a license to use it in your music, as with a MIDI pack. Parts made by AI may not be protected by copyright, and takes aren't exclusive.
- We never train on your music. Your files, recordings, MIDI, descriptions and takes are never used to train our AI models.
- Client work. Independent MIDI isn't AI: deliver it in finished client work, like a licensed MIDI pack. Audio takes and "MIDI of the audio" are AI-generated: use them for sketches, mockups and your own releases, and deliver them to a client only if they agree in writing. - Never pass AI audio off as human. Don't claim a take was played by real musicians.
- Refunds are covered on our Refunds page.
- Your rights as a consumer always apply. Nothing here takes away rights the law of your country gives you.
The full terms
1. This agreement
These terms are an agreement between you and Cinematic Composing LLC, a California limited liability company based in Lake Forest, California ("we", "us"), about Composer Assistant: the plugin and standalone app, the account website at composerassistant.com, and the cloud service that generates takes (together, "Composer Assistant").
- You accept these terms when you buy, install, sign in to or use Composer Assistant. If you don't agree, don't use it.
- These terms include the plan details shown when you bought, and our Privacy, AI and training data, Refunds and Third-party notices pages.
- You buy Composer Assistant through Cinematic Composing's checkout at cinematiccomposing.com. If Cinematic Composing's general Terms & Conditions say something different about the Composer Assistant software or service, these terms apply.
- These terms replace the short license text shown by the installer.
- You must be 18 or older (or the age of majority where you live) to buy Composer Assistant. Younger people may use it only with a parent's or guardian's permission, and never under 16.
2. Your account
- You need an account, identified by your email address. Keep your email account and your computers secure.
- You sign in with a link we email you, or through your Cinematic Composing account. Sign-in links expire after a short time.
- The plugin signs in through your browser and stays signed in on that computer for a limited time. You can sign out from the plugin at any time.
- One account per person. Don't share it or let anyone else use it.
- You're responsible for what happens under your account. Tell us right away if you think someone else is using it.
3. Your license to the plugin
We license the plugin to you; we don't sell it. As long as you follow these terms, we give you a personal, non-exclusive, non-transferable license to install and use Composer Assistant for your own music work, on computers you personally own or control. You may keep backup copies of the installer. Your license to the plugin has no end date unless it ends under section 9. Generating takes needs an active plan (section 4).
You may not:
- copy, distribute, sell, rent, lend or sublicense the plugin;
- modify, translate or reverse engineer it, except where the law allows this despite this restriction;
- remove or hide copyright or other notices;
- get around sign-in, plan or usage limits.
Parts of Composer Assistant made by others are licensed under their own terms, listed on our Third-party notices page.
4. Plans, usage and the cloud service
Takes are generated on our servers. Generating needs an internet connection, a signed-in account and an active plan with usage available.
- Founding Member (sold in September 2026): the plugin and cloud generation with no monthly usage cap, for life, as described in the offer you bought.
- Pro 10X and other term plans: cloud generation for the term stated when you bought, with a usage allowance that refills every month. When the term ends, generating stops until you choose a new plan.
- Monthly plans, when we offer them: the price, the allowance, how renewal works and how to cancel are shown before you buy.
Usage. Each take uses part of your plan's allowance. Different kinds of takes (audio, MIDI or both) use different amounts. The plugin shows how much you've used. Unused allowance doesn't carry over to the next month. We won't lower the allowance of a plan you've already paid for during its paid term.
Fair use. Every plan, including those with no cap, is for your own music work, generated through the plugin. We may limit or pause use that is automated, shared or resold, or that puts the service at risk for other composers, and we'll tell you why. We won't use this to limit normal use by one composer.
Availability. We work to keep the service fast and available, but it can be interrupted — for maintenance, by outages, or by things outside our control — and we can't promise it will always be available.
Changes. We improve Composer Assistant over time: instruments, models and features may change. If a change would materially reduce what you paid for, we'll tell you in advance, and you keep any rights the law gives you. Nothing in these terms reduces what a Founding Member bought.
5. Your music
Your input stays yours. The files you drop in, the recordings you make, the MIDI captured from your DAW and the descriptions you type ("your input") belong to you, or to whoever owns them. You allow us to use your input only to run Composer Assistant for you: to analyze it, generate your takes, keep the service secure and help you when you ask for support. Privacy explains how long we keep it.
Only use input you have the right to use. Don't upload recordings or music you don't have permission to use.
Your takes are yours to use. As between you and us, what Composer Assistant newly generates for you is yours, to the extent the law gives anyone rights in it: we assign to you any rights we have in it, including any sound-recording right; where the law doesn't allow an assignment, we give you an exclusive, perpetual, royalty-free license and we won't assert those rights against you. We charge no royalties and need no credit. You may use your takes commercially, including in music you release or sell and in client work. This doesn't give you any rights in Composer Assistant itself or in our models.
Our own material stays ours — licensed to you. Takes can include material that already belongs to Cinematic Composing: Independent MIDI is built from patterns in our own MIDI packs, fitted to your chords, key and rhythm, and our models learned from our own music, so any take can resemble it. We keep the rights in that material and don't assign it. To the extent a take contains it, we give you a perpetual, worldwide, non-exclusive, royalty-free license to use and edit it in your music, including commercial and client work — as with a MIDI pack. You may not resell or share it on its own as MIDI files, packs, loops, samples or libraries; sharing it within your project with the people you work with, such as clients, orchestrators and music preparers, is fine.
We never train on your music. We will never use your input, anything we derive from it (such as the notes, chords and tempo we read from it), or your takes to train, retrain or fine-tune any AI model — ours or anyone else's. We will never sell or license them to anyone for AI training. We will change this only through a separate opt-in that is off by default, applies only to material you create after you say yes, never limits what you've paid for if you say no, and can be withdrawn at any time. Accepting updated terms will never count as that opt-in. Anyone who takes over Composer Assistant must keep this promise.
Takes are not unique. AI can produce similar results for different people. We can't promise that a take is unique to you.
AI and copyright. The law on AI-generated material is still developing. In some countries, including the United States, material generated by AI without enough human creative input may not be protected by copyright. The music you write yourself stays yours. When you register a work that contains AI-generated material, you may need to say so.
Other people's rules about AI. Whether a client, studio, publisher, music library, distributor or collecting society accepts music containing AI-generated audio is up to your agreement with them. Many restrict it or require you to disclose it. Check before you deliver, sell or register music that contains takes, and tell them when takes are in your work.
No guarantee about outputs. Our instrument models are fine-tuned only on material we own or have licensed for AI training, starting from a base model made by Stability AI (see AI and training data). Even so, we can't guarantee that a take won't resemble existing music, and we don't defend or compensate you against claims about how you use your takes. You're responsible for how you use them.
If you publish in the EU. If you use takes professionally to make audio that imitates real people, recordings or events so that it could be mistaken for genuine, EU law may require you to say it was AI-generated. For artistic work, a credit line or note is usually enough.
6. Fair and lawful use
You agree not to:
- use Composer Assistant to break the law or to infringe anyone's rights;
- claim that a take was performed or created by people when it wasn't, or otherwise mislead anyone about where a take came from;
- use Composer Assistant to imitate an identifiable performer, orchestra, ensemble or recording, or present a take as a performance by real people;
- share your account, resell access, or let anyone else generate on your plan;
- script or automate the cloud service, reach it other than through the plugin, or get around sign-in, plan or usage limits;
- reverse engineer the plugin or the service, or try to extract our models, their weights or their training data;
- disrupt, overload or probe our servers;
- use Composer Assistant or your takes to create, train, fine-tune or improve any other AI model, or include takes in an AI training dataset.
The AI models we build on. Composer Assistant is built on AI models from Stability AI and Google (Gemma), licensed under the Stability AI Community License and the Gemma Terms of Use. You also agree not to use Composer Assistant in any way prohibited by Stability AI's Acceptable Use Policy or the Gemma Prohibited Use Policy. Parts of Composer Assistant are subject to the use restrictions in the Gemma Prohibited Use Policy; those restrictions are part of these terms, and breaking them is a serious breach of these terms.
7. Refunds
Refunds are covered on our Refunds page, which is part of these terms.
8. Changes to these terms
We may update these terms — for example, when we add a plan or a feature, or when the law changes. We'll post the new version here with its date. If a change materially affects you, we'll email you at least 30 days before it takes effect. Changes never apply to the past, and never reduce the benefits of a plan you've already paid for during its paid term, or what a Founding Member bought. If you don't agree with a change, you can stop using Composer Assistant, and you keep any further rights the law gives you.
9. Stopping and suspension
- You can stop using Composer Assistant at any time and ask us to close your account.
- We may suspend or end your access if you seriously or repeatedly break these terms, if the law requires it, or to protect the service or other composers. Where it's reasonable, we'll warn you first and give you a chance to put things right.
- If your access ends, your takes stay yours, and sections 5, 10, 11, 13 and 14 still apply.
10. Warranty
We build Composer Assistant with care and we support it. But, to the extent the law allows, Composer Assistant is provided "as is" and "as available", without warranties of any kind — including that it will be error-free or uninterrupted, that it will fit a particular purpose, or that takes will meet your expectations.
If you're a consumer, you have legal rights that these terms can't limit — for example, in the EU and the UK, the right to digital content and services that match their description and work as they should. Nothing in these terms affects those rights.
11. Liability
To the extent the law allows:
- we're not liable for indirect or consequential losses, such as lost profits, lost opportunities, lost data or missed deadlines;
- our total liability to you for all claims related to Composer Assistant is limited to the greater of what you paid us for it and US$100.
Nothing in these terms limits liability that the law doesn't allow us to limit — including for death or personal injury caused by negligence, for fraud, for intentional or grossly negligent conduct, or, if you're a consumer, any liability your country's law doesn't allow us to exclude.
12. Transferring this agreement
You can't transfer your account or your license to anyone else without our written permission.
We may transfer this agreement to a company that takes over Composer Assistant — for example, a company we set up to run it, or a buyer of the business — as long as it takes on our obligations to you, including Founding Member and prepaid-plan commitments and our promise never to train on your music. Your rights under these terms stay the same, and we'll tell you.
13. Law and disputes
California law governs these terms, and the state and federal courts located in California have jurisdiction over disputes about them. Anyone may use a small-claims court. If you're a consumer living outside the United States, you also keep the protection of the mandatory laws of the country where you live, you can bring a claim in the courts there, and we can only bring a claim against you there.
Before any claim, please write to us. Most problems get solved quickly that way.
14. General
- These terms, the plan details shown when you bought and the pages they link to are the whole agreement between you and us about Composer Assistant.
- If a court finds part of these terms unenforceable, the rest still applies.
- If we don't enforce a part of these terms right away, we can still enforce it later.
